ACCEPTABLE USE POLICY

You agree that you are responsible for all activities that occur under your username and password. If you are registering on behalf of a business entity, you represent that you have the authority to bind such entity, its employees, and its affiliates to these terms and conditions and that PerXL is entitled to rely on your instructions. If you’d like to install our software on a computer that you don’t own please ensure you have the owner’s consent to do so. Installing software on a computer or gadget that you do not own without the owner's consent could potentially be considered unauthorized access or hacking, which is illegal in many jurisdictions. Kindly ensure owner’s consent or seek legal advice for information on whats legal in your jurisdiction. Students are not allowed to install on their school’s devices without permission from staff or teachers.


Confidentiality, and Terms of use

Confidentiality

You are to maintain the utmost confidentiality in using, and maintaining your account.

Accuracy

When creating an account with PerXL, it is important you provide accurate and truthful information. Providing false or inaccurate information may result in the account being suspended or terminated.

Passwords

Please refrain from sharing your password. It is your responsibility to keep your password secure. You will be responsible for all actions occurring under your username.

Compliance

You agree to comply with all laws, rules, and regulations, state, federal, or local and not use the Services provided by PerXL for any illegal or unauthorized activities. You are required to comply with all laws, rules, and regulations applicable to the use of the Service and any content you upload, including but not limited to copyright laws. You are solely responsible for your conduct and any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links and other content or materials (collectively, "Subscriber Content") that you submit, post or display using the Service.

Responsibility

  • You are responsible for ensuring all relevant laws, industry codes and standards are complied with
  • You are responsible for ensuring that your actions will not result in reduced efficiency, interruptions, impairment of services
  • You are responsible for the Service to be used by the number of authorized users specified by you and identified by name. These individuals must be the only ones accessing the service, and the service cannot be accessed by any other software or hardware devices
  • You are responsible for provision, configuration, and maintenance of any equipment or software needed to access the Service
  • You are responsible for the ‘User content’ and its management on the Service
  • You are responsible for safeguarding and securing your Data or your ‘Clients Data’
  • You are responsible for payment of all applicable fees including any taxes, duties, or other government assessments
  • You are responsible for all data charges that you may incur during your use of the Services
  • You may not intimidate, mistreat, stalk, or verbally assault other users, or collect or hoard their personal information
  • You may not conceal, or allow any other person to conceal, the source of a service or message, or gain access, monitor, or utilize any data or traffic on systems or networks without proper authorization
  • You may not send any material for the purpose of promotion, publicity, or advertising, unless such transmission has been specifically requested by another user of the Service
  • You may not transmit, upload, or post any computer viruses, trojans, or files/programs that are harmful or deleterious like keystroke loggers, spyware, adware, or other similar code intended to negatively impact the functionality of computer software or hardware
  • You may not transmit, post, or upload any material which is offensive, defamatory, obscene, racist, libellous
  • You may not allow any third party to use the Software on behalf of or for the benefit of any third party. You may not sell, resell, rent, lease, license, sublicense, transfer, assign, distribute, market, time share, the Product or any of its parts, or otherwise commercially exploit or make available to any third party the Product, Services or any portion thereof
  • You may not misrepresent yourself with the intention of deceiving others about the sender's identity or the source of a message, which may include but is not limited to assuming the identity of another user or an employee of PerXL
  • You may not reproduce, copy, edit, modify, translate, or alter the Product or its software (in whole or in part. You may not attempt, nor assist anyone else to, reverse engineer, decompile, disassemble, adapt, or create derivate works of this Product, and this applies to both the software and the hardware, unless such restriction is prohibited by law
  • You may not change, modify, translate, or alter the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software and build a competitive product or service
  • You are not permitted to take any actions that may negatively impact the ability of other users to access and use the Service. In other words, you are not allowed to interfere with or disrupt the access of any other user, host, or network. These actions could be including but not limited to:
    • Scripting - You may not create, use and/or distribute scripts or automated processes that would interfere with the service or create an undue burden on the service provider's servers
    • Spamming - You may not send unsolicited messages, either to other users or to the service provider's servers
    • Overloading - You may not intentionally overload the service provider's servers or network in a way that would prevent other users from accessing the service
    • Flooding - You may not flood the service provider's servers or network with excessive traffic
    • Mail-bombing - You may not send a large number of messages to a specific user or address in a way that would prevent them from accessing their email
    • Caching, scraping, crawling – You may not employ means such as caching, scraping, or crawling or attempt to access and use the Service through any automated means other than standard search engine protocols or technologies
    • Malicious software - You may not upload malicious files that may harm the Service, websites, or other users' computers. Malicious files, include but are not limited to, files that may contain, or cause to spread, viruses, worms, trojan horses, keystroke loggers, adware or spyware
    • You may not create, use and/or distribute ‘auto’, or ‘macro’ computer programs or other ‘cheat’ or ‘hack’ programs or software applications (over the internet or in local area network)
    • You may not use, nor allow others to use, the Product or this License after expiry of the subscription services, without obtaining a license to do so from PerXL
    • You may not export or re-export this Product, or any copy of adaptation, or the Services in any way which breaches any applicable local, national or international laws
  • You may not do, or authorize, assist, abet, encourage or incite or cause others to do any of the actions listed from i9 to r11
  • If you are aware of any security breaches or unauthorized use of the account, you are required to notify PerXL immediately

Account suspension/termination

Your account may be suspended or terminated at any time, without any liability, if, using our Services, your actions have, or we have reason to believe your actions have resulted in, including but not limited, to the following:

  • violated the terms
  • violated laws and regulations
  • infringed on the intellectual property rights of others
  • resulted or may cause to result in a legal action initiated against us
  • posted illegal or violent content
  • engaged in any other illegal activity
  • at the end of the trial period
  • inactivity of the account for 30 days
  • non-viability - if it’s determined that providing the service is no longer commercially viable
  • We will endeavor to notify you through our Service when you log in or make reasonable efforts to send a notification to your email address or phone number (if provided). If your account is suspended or terminated, all licenses and other rights will cease, and you will no longer have access to the information within the account.

    The terms may be updated from time to time, and we reserve the right, to change the Terms of Service (ToS) and/or our Services. If there are significant changes to the terms, we will provide reasonable notice before of the changed terms are effected. You agree that you consent to us publishing such updated information on our website. Using the service after the changes take effect constitutes to the fact that you agree to the new terms.

    Employees or third parties acting on our behalf, may access your account, due to an issue raised by you, for any troubleshooting, and fixing of the issue. This access will be, however, with your explicit consent.

    Limitation of liability

    PerXL assumes no responsibility and will not be liable for any direct, indirect, incidental consequential, special, exemplary, punitive, or economic damages, to the fullest extent permitted by law, in relation to User content, improper usage of the Service, loss of access to data due to account suspension, loss data due to account termination, loss of revenue, subscription fees or other benefits arising out of account suspension or termination.
